Primary Areas of Practice: Business

Bill focuses his practice primarily in the areas of business,
tax and nonprofit transactional law. He works with business owners
who represent companies in all stages of development, from start-up
formation through business succession planning, reorganizations
and acquisitions. He works with clients in structuring business
protection and control arrangements, involving buy-sell agreements,
shareholder control agreements, and noncompetition agreements.
He also handles commercial real estate transactions, including
sales, leases, and like-kind exchanges, and he assists clients
with individual and business tax litigation and controversies,
including matters involving federal and state income tax, sales
and use tax, and unemployment insurance tax.
In his nonprofit and tax-exempt organization practice, Bill has worked
with many types of exempt organizations, including public charities,
private foundations, trade associations, churches, supporting organizations
and private operating foundations. Bill has also worked with clients
in areas such as organizational structures and reorganizations, corporate
governance, unrelated business income planning and joint ventures.
